Terms of Service
Please read these Terms of Service (“Terms”) carefully. They contain a binding arbitration clause, a class-action waiver, and limitations of liability that affect your rights. If you do not agree, do not use the service.
1. Who we are
The service known as Ownstage QR at qr.ownstage.app (the “Service”) is operated by Ownstage (“Ownstage,” “we,” “us,” or “our”), including Eva Akselrad / Ownstage. These Terms are between you and Ownstage.
2. Acceptance
By accessing or using the Service, creating an account, creating a QR code or short link, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
3. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You may not use the Service if you are barred under applicable law or if we have previously suspended or terminated your account.
4. The Service
Ownstage QR provides tools to create short links and QR codes and to change where those links redirect (“Redirects”). We are a neutral technical platform. We do not create, control, endorse, or review destination websites or content reached through your Redirects, and we are not responsible for them.
We may change, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee uptime, scan accuracy, redirect speed, or permanent availability of any link or QR code.
5. User content
“User Content” means anything you submit to or through the Service, including destination URLs, labels, account information, and any metadata you provide. User Content also includes the consequences of your Redirects (for example, what a visitor sees after a scan).
You retain ownership of your User Content. You are solely responsible for it and for all activity under your account.
By submitting User Content, you grant Ownstage a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, display, and perform User Content only as needed to operate, secure, promote, and improve the Service (for example, to resolve a short link, generate a QR image, enforce these Terms, or comply with law). This license ends when User Content is deleted from our systems, except for reasonable backup and legal retention.
6. Your representations and warranties
You represent and warrant that:
- You own or have all rights necessary to submit User Content and to direct Redirects to each destination URL.
- Your User Content and Redirects comply with these Terms and all applicable laws.
- Your Redirects will not harm, harass, or deceive users, and you will not misrepresent the destination of a QR code or short link.
- Information you provide to us is accurate, and you will keep your account credentials confidential.
7. Prohibited use
You may not use the Service, and may not submit User Content or Redirects, to:
- Violate any law or regulation, or infringe intellectual property, privacy, publicity, or other rights of any person.
- Distribute malware, ransomware, spyware, or phishing; conduct scams or fraud; or harvest credentials or personal data without lawful basis.
- Promote or link to illegal goods or services, child sexual abuse material, terrorism, or violence where prohibited.
- Send spam, run bulk unsolicited campaigns, or evade blocks or rate limits.
- Impersonate Ownstage, another person, or a brand without authorization.
- Probe, scan, or test the vulnerability of the Service or bypass access controls.
- Overload or interfere with the Service (including excessive automated scans or redirects).
- Use the Service in a way that exposes Ownstage to liability or harms users, third parties, or our infrastructure.
We may investigate violations and cooperate with law enforcement. We are not obligated to monitor User Content or Redirects but may do so at any time.
8. Enforcement and removal
We may remove or disable User Content, block Redirects, suspend or terminate accounts, and take technical or legal action without prior notice if we believe it is necessary to protect the Service, users, third parties, or Ownstage, or to comply with law. We are not liable for any such action.
9. Copyright and DMCA
We respect intellectual property rights. If you believe content accessible through the Service infringes your copyright, send a notice to eva@ownstage.app with the information required by 17 U.S.C. § 512(c)(3). We may terminate repeat infringers. Counter-notices may be sent to the same address. We may forward notices to the account holder.
10. Third-party destinations
Redirects leave the Service and go to third-party sites or resources we do not control. Your use of those destinations is solely between you and the third party. We disclaim all liability for third-party content, products, services, or practices.
11. Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Ownstage and its owners, operators, affiliates, and each of their officers, directors, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content or Redirects; (b) your use of the Service; (c) your breach of these Terms or applicable law; (d) any dispute between you and a third party (including people who scan your QR codes); or (e) any allegation that your User Content or Redirects caused harm to a third party. We may assume exclusive defense and control of any matter subject to indemnification, and you will cooperate with us.
12. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, Ownstage Event Solutions disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, secure, error-free, or that redirects will always reach the url you configured.
13. Limitation of liability
To the fullest extent permitted by law, Ownstage Event Solutions will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or related to the service or these terms, even if we have been advised of the possibility. Our total aggregate liability for all claims arising from or related to the service or these terms is limited to the greater of (a) amounts you paid us for the service in the twelve (12) months before the event giving rise to liability, or (b) one hundred u.s. dollars (usd $100). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.
14. Release
To the extent permitted by law, you release Ownstage from claims, demands, and damages of every kind, known and unknown, arising out of disputes with third parties relating to your User Content, Redirects, or use of the Service. If you are a California resident, you waive California Civil Code § 1542 (and any similar statute) to the extent permitted.
15. Dispute resolution; arbitration; class waiver
Governing law: These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, except where federal law applies. For any dispute not subject to arbitration, you and Ownstage consent to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.
Informal resolution: Before filing a claim, you agree to contact us at eva@ownstage.app and try to resolve the dispute informally for at least 30 days.
Binding arbitration: Except for disputes qualifying for small claims court or injunctive relief for intellectual property or unauthorized access, any dispute arising from these terms or the service will be resolved by binding arbitration administered by the american arbitration association (aaa) under its consumer arbitration rules. Arbitration will be in Pennsylvania, or by video/telephone if the arbitrator allows. One arbitrator. The arbitrator may award the same damages and relief a court could, subject to these terms.
Class action waiver: You and Ownstage Event Solutions agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims without Ownstage Event Solutions’ consent.
Opt-out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing eva@ownstage.app with subject “Arbitration Opt-Out” and your account email.
16. Account termination
You may stop using the Service at any time. We may suspend or terminate your access at any time for any reason, including breach of these Terms. Provisions that by their nature should survive (including Sections 5–15 and 17) survive termination.
17. General
- Entire agreement: These Terms and the Privacy Policy are the entire agreement regarding the Service.
- Changes: We may modify these Terms. We will post the updated Terms with a new “Last updated” date. Material changes may also be noted in the Service. Continued use after changes take effect constitutes acceptance.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, sale, or reorganization.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
- Export: You may not use the Service in violation of export control or sanctions laws.
